The Management Board of mcr Spółka Akcyjna (formerly: MERCOR Spółka Akcyjna) (the “Company”) announces that on 20 November 2025 it was notified of the registration by the District Court for Gdańsk-Północ in Gdańsk, 7th Commercial Division of the National Court Register, of the amendments to the Company’s Articles of Association adopted by the General Meeting on 30 September 2025 by Resolutions No. 21 and No. 22.
Adopted amendments:
Resolution No. 21 amended the wording of Article 2.1 of the Articles of Association as follows:
Resolution No. 22
“appointment and revocation of the appointment of an audit firm authorised to audit or review the Company’s financial statements and to provide assurance services with respect to the Company’s sustainability reporting, and to approve the conclusion of agreements with that firm, its affiliates or members of its network, or actions that could affect that firm’s independence in the performance of financial audit/review services or assurance services”;
“In accordance with the relevant provisions of the Commercial Companies Code, the Management Board shall be authorised, subject to the Supervisory Board’s approval, to distribute interim dividend to shareholders provided the Company has sufficient funds to do so.”
Legal basis: Section 5.1 of the Minister of Finance’s Regulation of 29 March 2018 on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state.
